These General Terms & Conditions govern the use of the Karma Silverlife Pvt. Ltd. Transport/Delivery Application and all related transport, freight, shipment, and distribution services provided by Karma Silverlife Pvt. Ltd. By downloading the App, registering an account, placing an order, booking freight, accepting delivery, or utilizing any services, the Customer agrees to be legally bound by these Terms.
1.1 Orders, Acceptance & Service Scope
Service Confirmation: All bookings and dispatch requests placed via the App are subject to express acceptance by the Company. The Company reserves the right to accept, reschedule, or decline any request based on operational feasibility.
Execution Channels: The Company may fulfill transport orders using its dedicated fleet, authorized drivers, or licensed third-party logistics (3PL) partners.
Timelines: Delivery timelines, estimated transit durations, and arrival windows are indicative estimates provided for planning purposes and do not constitute absolute guarantees unless explicitly executed under a separate formal Service Level Agreement (SLA).
1.2 Invoice, Billing & Applicable Payment Terms
The payment terms governing each logistics transaction shall be designated on the official invoice, consignment note, or system booking order. Every transaction shall fall under one of the three established payment categories:
A. Advance Payment: Where an order is designated as 'Advance Payment', the full billed invoice amount must be received and cleared in Company bank accounts prior to dispatch. Cargo will not be released for transit until back-end clearance is verified.
B. Payment on Delivery (Dynamic UPI QR): Where an order is designated as 'Payment on Delivery', the Customer/consignee must settle the full invoice value at the delivery destination exclusively by scanning the Company-authorized Dynamic UPI QR code printed or displayed directly on the delivery invoice. Handover of cargo is strictly contingent upon digital back-end settlement.
Non-Acceptable Confirmation Proofs: Payment screenshots, automated SMS notifications, bank counterfoil slips, UTR/reference numbers, debit entries in Customer bank accounts, or verbal confirmations shall NOT, by themselves, constitute valid payment confirmation.
C. 30-Day Commercial Credit: A 30-day deferred credit facility applies solely to commercial accounts possessing prior, formal written approval signed by authorized corporate officers. Invoices must be cleared within 30 calendar days from the invoice date. No driver, delivery personnel, or sales representative has authority to grant or alter credit arrangements.
1.3 Payment Control, QR Verification & Cargo Release
Zero-Release Protocol: Delivery partners and fleet personnel are contractually barred from releasing or unloading cargo until the digital system displays verified payment confirmation.
Beneficiary Verification: The Customer must verify the beneficiary title ('Karma Silverlife Pvt. Ltd.') and exact amount before executing UPI transfers. Transfers made to unapproved personal QR codes, individual UPI handles, or personal accounts of staff are invalid and entirely at the Customer's risk.
Reconciliation Holds: If the Customer's bank account is debited but the Company's payment gateway does not reflect settlement, cargo handover shall remain suspended until banking reconciliation clears the funds.
1.4 Delivery Protocols, Acceptance & Failed Drops
Authorized Handover: The Customer must provide precise delivery coordinates and ensure authorized representatives are available at the destination. Delivery confirmed via One-Time Password (OTP), electronic Proof of Delivery (e-POD), or digital signature constitutes full and valid delivery.
Mandatory Inspection: The consignee must inspect exterior packaging upon arrival and immediately report any visible shortages, tampering, or damages to delivery personnel prior to departure.
Failed / Rejected Handover: If delivery cannot be completed due to incorrect addresses, recipient non-availability, payment refusal, or consignee rejection, the Company reserves the right to hold or return the goods. The Customer shall be liable for all storage fees, re-routing costs, detention charges, and re-delivery expenses.
1.5 Credit Holds, Suspensions & Fraud Mitigation
Credit Restraints: The Company may suspend deliveries, place customer accounts on credit hold, or demand advance payments whenever accounts exceed authorized credit limits or have overdue balances.
Fraud Detection: The Company reserves the right to withhold cargo, freeze application profiles, and initiate legal action upon reasonable suspicion of manipulated payment receipts, counterfeit UTR submissions, or system tampering.
1.6 Liability, Indemnity & Jurisdiction
Limitation of Liability: To the maximum extent permitted by applicable law, the Company shall not be liable for indirect, incidental, consequential, punitive, or loss-of-profit damages arising from logistics operations or application downtime.
Force Majeure: The Company disclaims liability for delays caused by circumstances beyond its reasonable control, including payment switch outages, telecommunications disruption, severe weather, strikes, road blockages, natural disasters, or statutory directives.
Indemnity: The Customer agrees to indemnify, defend, and hold harmless Karma Silverlife Pvt. Ltd., its directors, officers, employees, and logistics partners against all claims, losses, or legal liabilities arising from breach of these Terms, misdeclaration of goods, or unlawful conduct.
Governing Law & Dispute Resolution: These Terms are governed by the laws of India. Courts possessing territorial jurisdiction at Kolkata, West Bengal shall exercise exclusive jurisdiction over any disputes arising under these Terms.
